Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the platform avidia content ("the platform", "the service"), provided by Avidia.ai c/o Netgen Switzerland AG ("we", "us", "our"). By using the platform, you accept these Terms. If you do not agree to these terms, you may not use the platform. These Terms are supplemented by Swiss law and form part of the usage agreement between you and us.

In these Terms: "Platform": The avidia content platform and all related services "User", "You": The person or organization using the platform "Account": Your user account on the platform "Content": All data, texts, images, videos, flows, projects, and other materials you create or upload on the platform "AI Services": The AI-powered features provided by the platform (GPT-4, Claude) "Organization": An institution or company with access to the platform "Package": Your subscribed service plan with corresponding features and limits

By registering, logging in, or using the platform, you confirm that: You are at least 16 years old or have parental consent You are of legal age and have legal capacity You have provided all information truthfully and completely You have read, understood, and accepted these Terms You will comply with all applicable laws and regulations Failure to meet these requirements may result in immediate termination of your account.

Account Responsibility: You are responsible for all activities under your account. You must: Keep your login credentials confidential Report immediately if you suspect unauthorized access Not share your account with others Account Types: The platform offers various account types with different permissions: super_admin, institution_admin, manager, team_manager, supervisor, user Termination: We reserve the right to suspend or delete accounts without notice if these Terms are violated. You may cancel your account at any time by contacting us at content@avidia.ai.

The platform provides: AI-Powered Content Curation: Automated content creation and translation Multi-Language Support: Support for 6 languages (German, French, Italian, Romansh, English, Spanish) Integrations: Connection with CMS (Ibexa DXP, WordPress), LMS (Moodle) Media Generation: Image and audio generation via third-party services Flow Management: Creation and management of content workflows Collaboration: Team features, project management Export Functions: Export to various formats (PDF, DOCX, Markdown) We reserve the right to modify, supplement, or discontinue services at any time. We will announce significant changes in advance.

Ownership Rights: You retain all ownership rights to content you create or upload on the platform. Licenses: By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and display such content solely for the purpose of providing and improving the platform services. Responsibility: You are solely responsible for your content and warrant that: You have the rights to use the content The content does not infringe third-party rights The content is not illegal, harmful, or offensive Prohibited Content: The following content is prohibited: Illegal content, pornography, hate speech, malware, spam, content infringing third-party rights.

Platform Intellectual Property: All rights to the platform, including software, design, logos, trademarks, and documentation, remain our exclusive property. You receive only a limited, non-exclusive, non-transferable right to use the platform in accordance with these Terms. You may not: Reverse-engineer, decompile, or disassemble the platform Attempt unauthorized access to the platform or its systems Use trademarks, logos, or other proprietary information However, you may download content you create and use it for your own purposes.

Subscription Models: The platform may offer various subscription models. Pricing information can be found on the platform or obtained upon request. Payment Terms: All fees are due in advance unless otherwise agreed. We accept payments by credit card, bank transfer, or other accepted methods. Refunds: Refunds are granted at our discretion unless required by law. No prorated refunds are granted for early termination. Price Changes: We may change prices with 30 days' notice. Continued use after the change constitutes acceptance.

You may not use the platform to: Use for illegal purposes Distribute malware, viruses, or harmful code Circumvent security measures Abuse for automated queries (scraping) that excessively burden the platform Infringe third-party rights Send spam or unsolicited messages Create fake or deceptive content Violations may result in immediate termination and legal action.

Termination by You: You may cancel your account at any time by contacting us at content@avidia.ai. Termination by Us: We may terminate your account with or without notice if: You violate these Terms You act illegally You abuse the platform Your account has been inactive for an extended period Consequences of Termination: After termination, your access will be blocked. You may export your data within 30 days after termination. Thereafter, your data will be deleted unless legal retention obligations exist.

The platform is provided "as is" and "as available". We make no warranties regarding: Uninterrupted availability or error-free operation Accuracy, completeness, or usefulness of AI-generated content Compatibility with your requirements Security against all possible threats AI-Generated Content: The platform uses AI services from third parties (OpenAI, Anthropic). We assume no responsibility for: The accuracy or correctness of AI-generated content Copyright infringements by AI-generated content The availability or quality of AI services You are responsible for reviewing and editing all AI-generated content.

Liability Limitation: Our liability is limited to the extent permitted by law. We are not liable for: Indirect, incidental, or consequential damages Loss of data or profits Business interruptions Maximum Liability: Our total liability for all claims related to the platform is limited to the amount you paid us in the preceding 12-month period. Exceptions: These liability limitations do not apply to: Intent or gross negligence Personal injury Breach of essential contractual obligations (cardinal duties) We recommend creating regular backups of your content.

You agree to indemnify us from all claims, damages, losses, liabilities, and costs (including reasonable attorney fees) arising from: Your use of the platform Your user content Your violation of these Terms Your infringement of third-party rights Your violation of laws or regulations This indemnification survives termination of your use.

These Terms are governed by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Jurisdiction: For all disputes arising from or in connection with these Terms, the court at the seat of Avidia.ai c/o Netgen Switzerland AG (Zurich, Switzerland) has exclusive jurisdiction. However, we reserve the right to file suit before any other competent court.

In case of disputes, we strive for amicable resolution. If no agreement can be reached: Swiss law applies The court in Zurich, Switzerland has jurisdiction Mediation should be attempted before court proceedings You have the right to contact the competent consumer protection organization if you are a consumer.

We may change these Terms at any time. Material changes will be: Announced via email Or notified with a notice on the platform Your continued use of the platform after changes constitutes acceptance of the amended Terms. If you do not agree with changes, you must stop using and cancel your account.
